Terms of Service (AGB)
For the use of HexRead, operated by HexWorld Solutions GmbH.
1. Scope
These terms apply to the use of HexRead by consumers (B2C) and businesses (B2B) within the meaning of §§ 13, 14 of the German Civil Code (BGB). The version in force at the time the contract is concluded applies. Deviating or conflicting terms of the user do not become part of the contract unless HexWorld Solutions GmbH expressly agrees to them in text form. Individually agreed arrangements take precedence over these terms.
2. Subject of the contract
HexRead converts PDF/image files uploaded by the user into Markdown/JSON. Processing is data-minimizing under the zero-retention principle (see the Privacy Policy). The scope of the service (including file size, pages per document, models, API/CLI interfaces) follows from the pricing and feature overview in force at the time the contract is concluded. HexWorld Solutions GmbH continuously develops the service; for running subscriptions, features and service levels can only change in the user's favor as a result — the scope described at contract conclusion is never reduced. Price changes are governed by § 12.
3. Conclusion of the contract
When the user creates an account and confirms these Terms during registration, a free usage contract for the free trial and for using the service under these Terms — including the user obligations under § 8 — is concluded between the user and HexWorld Solutions GmbH. A paid subscription is concluded additionally when the user completes the order process for a plan. Billing for the subscription is handled by our payment provider Stripe with the payment methods offered during the order process; HexWorld Solutions GmbH is the contracting party and invoice issuer.
The order process works as follows: the user selects a plan and a billing interval, is redirected to our payment provider's secured checkout page, can review and correct their input there until submitting the order, and places the binding order by completing the payment step. The contract language is German; this English version of the Terms is a non-binding convenience translation. HexWorld Solutions GmbH does not store the contract text in a form the user can retrieve later; these Terms are available on the website at any time in their current version, and the details of the order are provided to the user with the order confirmation or invoice.
4. Subscription, page allowance, prices and billing
HexRead is offered as a subscription. The user selects a plan under the pricing overview in force at the time the contract is concluded, billed either monthly or annually. With the annual plan, twelve months are billed in advance; the annual price equals ten monthly prices (two months free).
Each plan includes a monthly page allowance per the pricing overview. The allowance acts as a hard cap: there is no obligation to top up, no overdraft and no usage-based overage billing. Once the allowance for a billing month is used up, the user can either move to a higher plan (upgrade) or wait until the start of the next billing month, when the allowance is available again; until then, the paid service is not provided. Unused allowance expires at the end of the billing month and does not roll over to the following month.
Moving to a higher plan (upgrade) is possible at any time and takes effect with the change; payment already made for the current billing period is credited pro rata toward the higher plan. Moving to a lower plan (downgrade) is not offered; the user may instead cancel effective at the end of the current billing period (§ 7) and subsequently subscribe to a different plan.
Usage is counted in whole pages: one physical document page counts as one page — regardless of format, size or content (an A3 page, an image, and a blank or a densely printed page each count as one page).
Newly registered, verified accounts receive a one-time free trial of 100 pages, with no payment method required. Once the trial pages are used up, a paid subscription is required for further use.
The prices of the pricing overview in force at the time the contract is concluded apply. The prices shown there include statutory VAT; the VAT applicable in the user's country is shown during the order process and, where applicable, accounted for at the place of supply via the One-Stop-Shop (OSS) procedure. The terms of the Custom/Enterprise plan are agreed individually (§ 5). The page allowance is neither transferable to other users nor redeemable outside HexRead.
5. Plans and payment
HexRead is offered in several self-serve plans (Starter, Pro and Power per the pricing overview) that differ in price and monthly page allowance. For organizations (B2B) there is additionally an individually agreed Custom/Enterprise plan whose terms are agreed on request; its page allowance may be pooled organization-wide.
The subscription is a recurring payment and renews automatically by one further billing period (month or year) at a time, unless cancelled before the end of that period (§ 7). With the annual plan, the annual price is billed in advance for twelve months at the start of the billing period; with the monthly plan, monthly. Payment is collected via Stripe; if a payment fails, HexWorld Solutions GmbH may restrict access until the amount is settled.
6. Consumer right of withdrawal
Consumers have a fourteen-day right of withdrawal when concluding a subscription. A conversion is a digital service: if the consumer expressly requests that we begin performance before the withdrawal period expires, and has at the same time confirmed their knowledge that they lose their right of withdrawal upon complete performance of the contract, the right of withdrawal expires upon complete performance of the service (§ 356 (4) BGB). If the consumer withdraws after having requested early performance, they owe compensation for the value of the services provided up to the withdrawal (§ 357 (8) BGB); any payment already made beyond that is refunded. The separate withdrawal notice including the model withdrawal form is available at any time and is provided during the order process.
7. Cancellation and refunds
The user may cancel their subscription at any time, effective at the end of the current billing period, via the cancellation option provided in the customer portal (§ 312k BGB); after that, no automatic renewal takes place. Access and the page allowance remain in place until the end of the billing period already paid for. The user account can be deleted at any time without notice.
Payments already made for a current billing period are — subject to mandatory statutory claims — not refunded on a pro-rata basis; in particular there is no claim to a refund for unused page allowance. For an annual plan paid in advance, a pro-rata refund is made only where required by law or granted by HexWorld Solutions GmbH as a goodwill gesture. The statutory right of withdrawal (§ 6) and the right to extraordinary termination for cause remain unaffected.
8. User obligations / permitted content
The user warrants that they hold the necessary rights to the uploaded files and that processing them does not infringe any third-party rights (in particular copyright, personality or data-protection rights). Uploading unlawful, in particular criminal, content is prohibited. Rights to the uploads and the generated results remain with the user; HexWorld Solutions GmbH receives no usage rights beyond the transient processing that is technically required to provide the service (zero-retention, see the Privacy Policy). Abuse, automated bulk requests outside the intended API, and circumvention of rate or volume limits are prohibited. HexWorld Solutions GmbH may enforce rate limits and, in the event of violations, restrict or suspend access.
The user shall keep their credentials (password, passkeys, API keys) secret, protect them from access by third parties and inform HexWorld Solutions GmbH without undue delay if they suspect misuse of their account or API keys; compromised API keys can be revoked in the account at any time. Usage occurring via the user's credentials is attributed to the user's account to the extent the user is responsible for the misuse.
The user shall not circumvent or manipulate the page-based metering and billing. In particular, combining multiple content pages onto a single physical page (e.g. N-up layouts), or otherwise condensing or nesting page content so that the number of pages actually processed is understated, is prohibited. HexWorld Solutions GmbH may determine the number of pages actually processed, bill accordingly and, in the event of violations, restrict or suspend access.
9. Availability, service failure, liability, warranty
HexWorld Solutions GmbH provides the service with commercially reasonable care but owes no specific availability and no specific processing time unless a service level is expressly promised; maintenance windows and outages may occur. Failed conversions do not count against the page allowance.
In the event of defects, consumers are entitled to the unrestricted statutory warranty rights for digital products (§§ 327 et seq. BGB). HexWorld Solutions GmbH provides, for the duration of the contract, the updates necessary to keep the service in conformity with the contract (§ 327f BGB); as a cloud service, HexRead is updated continuously on the server side without any action required from the user.
HexWorld Solutions GmbH is liable without limitation for intent and gross negligence and for damage arising from injury to life, body or health. In cases of simple negligence, HexWorld Solutions GmbH is liable only for the breach of an essential contractual obligation (cardinal obligation), limited in amount to the foreseeable damage typical for the contract. Any further liability is excluded. Liability under the German Product Liability Act remains unaffected. No liability is assumed for events outside the control of HexWorld Solutions GmbH (force majeure).
10. Discontinuation of the service
HexWorld Solutions GmbH may discontinue the operation of HexRead with reasonable advance notice. In that case, running subscriptions end no later than the announced date; for a billing period paid in advance and not yet elapsed at that date, the pro-rata payment is refunded.
11. Data protection
Our Privacy Policy applies. The engaged service providers are published.
12. Changes to these Terms
HexWorld Solutions GmbH may change these Terms with effect for the future where this is necessary due to a change in the law or in case law, or where the change concerns new or changed features of the service and the contractual balance is not shifted to the user's disadvantage. Changes are announced to the user in text form (e.g. by email) at least six weeks before they take effect. If the user does not object before the change takes effect, the changed Terms apply from the next billing period; the announcement points this consequence out separately. If the user objects, either party may cancel the subscription effective at the end of the current billing period. The price and page allowance of a running subscription are not changed without the user's consent; changed prices apply only to newly concluded subscriptions and plan changes.
13. Final provisions
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods; for consumers, the mandatory consumer-protection provisions of their state of residence additionally apply. The place of jurisdiction for merchants, legal persons under public law and special funds under public law is, where permissible, the registered office of HexWorld Solutions GmbH (Dresden). Should individual provisions be or become invalid, the validity of the remaining provisions remains unaffected (severability clause). These English terms are a convenience translation; the German version prevails.
Consumer dispute resolution: HexWorld Solutions GmbH is neither willing nor obliged to participate in dispute-resolution proceedings before a consumer arbitration board within the meaning of the German Consumer Dispute Resolution Act (VSBG).
